This agreement may be amended or modified at any time. By entering this site or placing a transaction through this site, you are agreeing to the following terms and conditions, as amended or modified from time to time. You acknowledge that all orders placed through this system are at your sole risk. You represent by submitting orders that such orders are based on instructions that you received and accepted as being in good order from your customers no later than the time which the net asset value and public offering price of such Units are calculated on such date as described in the applicable prospectus. You are solely responsible and liable for: (a) all orders placed by you or your agent and otherwise through the use of your access codes, whether or not authorized, and (b) for reviewing all orders entered for accuracy and completeness. You agree and acknowledge that we are entitled to rely upon any oral, written or electronic communications received from you, your agents or otherwise through the use of your access codes. Once an order is submitted electronically, you cannot cancel or modify it through this system. Your orders may be reviewed by our order desk and may be denied for any reason. You understand that technical problems or other conditions may delay or prevent you from entering an order through this system. We reserve the right to terminate your access to the system at any time. You agree to contact us IMMEDIATELY at (800) 621-9944 if: (a) you determine that any order submitted was inaccurate or incomplete, (b) you have not received a timely acknowledgement of any order placed through this system, (c) you have received an acknowledgement for an order you did not place, or (d) any similar conflict to those stated above. Notwithstanding above, there is no guarantee that any orders placed can be canceled or modified following their submission. Prior to the close of an offering period of a Trust, there is no guarantee that the registration statement for a Trust will become effective on the anticipated deposit date or that any indications of interest or orders will be accepted. Prior to the effectiveness of the applicable registration statement, we reserve the right to (a) cancel any and all orders and to revoke indications of interest without notice and (b) to determine not to deposit a Trust. Once the registration statement becomes effective, any indications of interest will be accepted as firm orders for purchase of units as of the effective date of the Trust's registration statement. Securities may not be sold until the registration statement becomes effective. This document is not an offer to sell securities and it is not soliciting an offer to buy securities in any state where such offer or sale is not permitted. Securities are sold by prospectus only and this communication is not a prospectus. You agree that neither Guggenheim Funds Distributors, Inc. (“Guggenheim Funds”) nor its officers, directors, employees, agents or affiliates shall be liable for any cost, loss, damage or other injury arising out of (a) your use or reliance on the system, (b) any delay or deterrence (occasional or permanent) in your ability to use the system, (c) any item, event or occurrence as to which you have acknowledged responsibility, or otherwise agreed to be responsible for, pursuant to this agreement, or (d) any action taken, or failure to take action, by Guggenheim Funds in accordance with this agreement. You agree to indemnify and hold harmless Guggenheim Funds and its officers, directors, employees, agents and affiliates from any claim, demand, action, proceeding, cost, loss, damage or other injury arising out of your breach of this agreement. The terms set forth in this paragraph shall survive the termination of this agreement. This agreement will be governed by and construed in accordance with the laws of the State of Illinois, without regard to conflict of laws principles. You agree to submit to the jurisdiction of the courts of the State of Illinois located in Chicago or the United States District Courts for that district to settle any dispute arising out of this agreement, and you waive any defense of forum nonconveniens. By proceeding or entering a transaction you agree that you understand the above.
